By registering for, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. About HR Duo

HR Duo is an all‑in‑one workforce management and HR software platform that helps businesses across the UK, Ireland, and Europe automate HR tasks, track time and attendance, manage payroll accurately, streamline recruitment and onboarding, and support performance management — all in one integrated system. 2. Definitions

  • “Service” refers to HR Duo’s SaaS platform and any associated applications, mobile apps, APIs, websites, documentation, and support services.
  • “User”, “you” or “your” means any individual or entity that uses the Service under a registered account or subscription.
  • “Account” means the user credentials used to access the Service.
  • “Subscription” means the paid plan or free trial under which access to the Service is provided.

3. Acceptance of Terms

By creating an account, subscribing to a plan, accessing, or using the Service, you confirm that:

  • You are at least 18 years old.
  • You have legal capacity to enter into and agree to these Terms.
  • You will comply with all applicable UK, Irish, and Romanian laws and regulations while using the Service.

5. Service Access and Subscription Terms

  • Subscription Plans: Access to the Service is subject to payment of subscription fees (monthly, annual, or otherwise) associated with the plan you select.   • Free Trials: Free trial access (if offered) is subject to separate terms and duration limits.
  • Billing: Subscription fees are billed in advance and non‑refundable unless otherwise required by applicable law or specified in your subscription agreement.
  • Changes to Subscription: HR Duo may change pricing, features, or plans. Material changes will be communicated in advance.

6. Use of the Service

You agree that you will:

  • Use the Service only for lawful business purposes.
  • Not use the Service in a manner that infringes the rights of others or violates local laws.
  • Not attempt to reverse engineer, decompile, or access parts of the Service not intended for public use.

7. Data and Privacy

8. Intellectual Property

  • HR Duo and its licensors retain all rights, title, and interest in the Service and associated intellectual property.

9. Confidentiality and Security

HR Duo implements technical and organisational measures to protect personal data and account information. However, you acknowledge that no system is completely secure, and HR Duo does not guarantee absolute protection against cyber threats.

10. Acceptable Use

You agree not to:

11. Disclaimers

  • The Service is provided “as is” and “as available.” HR Duo expressly disclaims all warranties, whether express or implied, including merchantability or fitness for a particular purpose.
  • HR Duo does not guarantee uninterrupted or error‑free operation of the Service.

12. Limitation of Liability

To the extent permitted by law:

  • HR Duo’s total liability under these Terms shall not exceed the total subscription fees paid by you in the 12 months preceding the claim.
  • HR Duo will not be liable for indirect, incidental, special, or consequential damages (including lost profits or data).

13. Indemnification

You agree to indemnify and hold harmless HR Duo and its affiliates from any claims arising from:

  • Your use of the Service.
  • Your violation of these Terms.
  • Your failure to comply with applicable laws.

14. Termination

  • By You: You may cancel your subscription at any time via your account or by written notice. Cancellation will take effect at the end of the then‑current billing period.
  • By HR Duo: We may suspend or terminate your access for violation of these Terms or non‑payment.
  • Upon termination, your right to access the Service ends and certain data may be deleted per our retention policies.

15. Governing Law

These Terms are governed by the laws of England & Wales (for UK customers) and Ireland (for Irish customers). Any disputes will be subject to the exclusive jurisdiction of the courts of the relevant country unless otherwise agreed.

16. Dispute Resolution

In the event of a dispute, both parties agree to attempt to resolve the matter through informal negotiation. If unresolved, disputes will be handled through binding arbitration in accordance with [arbitration body or rules].
